Representative

Representatives are an integral part of the Armaiti Mex, responsible for connecting deal performers all around the world with us. They serve as liaisons between the two parties, negotiating contracts and other details to ensure both parties get what they need out of the arrangement. Representatives serve more than just a transactional role in the industry. They provide advice and counsel to both sides of contract, helping them make decisions that will best benefit their business goals.

The Roles and Responsibilities of a Representative

- Identifying potential clients within specific industries, businesses, or organizations that might have a need for sales and purchase of petroleum, petrochemical, mineral and metal products.

- Meeting with clients to discuss trade details and provide customer service for sales and purchase of petroleum, petrochemical, mineral and metal.

- Presenting the Armaiti Mex to clients with the general terms and conditions such as contract length and termination clauses.

- Negotiating contracts with clients to ensure mutual satisfaction, and ensuring that agreements are adhered to over time.

- Identifying opportunities for client growth by offering additional products or services that complement existing offerings.

- Following up with clients after initial meetings to ensure satisfaction with products or services provided.

- Presenting new products or services to existing clients to increase business opportunities.

- Maintaining clients’ records in a computer database and informing the Armati Mex the results reports, such as daily reports, weekly work plans, and monthly and annual territory activity analysis.

A Representative Has a Wide Range of Duties Including:

To act in the best interests of the Armaiti Mex

When you are appointed as a representative to facilitate or negotiate a transaction on behalf of the Armaiti Mex, you owe a duty to the principal to act in the principal's best interests within the authority of yourself.

No conflict of interest

A representative who has accepted an appointment to act for the Armaiti Mex should not thereafter accept appointment to act for another principal. The representative's duty to avoid conflict of interest applies equally to cases where the interest of himself or that of his close relative’s conflicts or potentially conflicts with his duties to the Armaiti Mex. The general rule is that a representative cannot cooperate with the Armaiti Mex without full disclosure of all the facts related to him before entering into any agreement.

No secret profit

Common law requires that an agent should not make any profit or acquire any benefit in the course of his agency without the knowledge and consent of his principal. Such profit, generally known as secret profit, is not restricted to money but may include anything of value, for example, an interest-free loan, a club membership, etc. A representative who has made secret profit is liable to account to the Armaiti Group for such profit in addition to any other remedies available to the principal for the agent's breach of duty.

Use of position

An appointed representative shall not obtain a benefit simply through his position in a purchase from a supplier and obtains secret monetary benefit from the supplier.

Likewise, if a company director is entrusted with the task of negotiating a contract with a third party on behalf of the Armaiti MEX (that is, the representative), he cannot subsequently enter into that contract personally with that third party, even if the latter is willing to do so without Armaiti's consent.

A representative who acquires information or knowledge which he has been employed by the Armaiti MEX for the use in the trade should not make use of it for his personal gain.

A representative's duty to account to the Armaiti MEX continues even after the agency relationship terminates.

Duty to use care and skill

Common law requires a representative act with due care and skill in performing his duties. Those who fail to meet this standard are negligent.

Duty not to delegate

The general rule is that a representative may not delegate his authority or duty in general or in part except with the authority and consent of the Armaiti MEX.

Duty of obedience

Generally, representatives are under a duty to obey the lawful and reasonable instructions of the Armaiti Group. Where the Armaiti's instructions are clear, the representative does not normally have any discretion and must follow those instructions which has been appointed to accomplish.
